With an attenuator a large chunk of the signal is converted to heat in the resistors and then what's left goes onto the speaker. It works well if you don't do a lot of attenuation, but at low volume it doesn't work as well.

With reamping you use a load box (in place of a speaker) with a line level out. You run that out to a power amp (clean power amp) which re amplifies the signal. I don't know why, but at really low volume you retain the tone of the amp and things don't get muddy. An attenuator will sound really muddy and such at lower volumes.

The thing with a reamping rig is, if you find a cheap power amp and build/buy a standard load box you can usually get a rig going for about the same cost as a good attenuator, but have a better, more versatile (IMO) set up.
